Hyde United Community Association Football Club Limited
Annual General Meeting 20 March 2024 7.30 p.m. Hyde United Social Club

The Agenda for the AGM is as follows:

  1. The receipt of the accounts for the years ended 31 May 2023 and 2022 and the report of the board thereon. The accounts to be presented will comprise both those of the company and its subsidiary Hyde United Association Football Club Limited.
  2. Re-appointment of RfM Audit LLP as auditors.
  3. Election of directors.

Whilst not forming part of the AGM, the Board will take questions from the members and answer them to the best of their ability.

Attendance at the AGM is restricted to CBS members. Existing members should ensure that they have paid their annual membership fee of £10. Non-member supporters can become members for £10 which they receive a £1 voting share and one year’s membership. Both membership and renewals can be purchased from the online club shop here. No person can hold more than 1 voting share.

Election of Directors

The constitution of Hyde United Community Association Football Club Limited states that directors shall serve for three years, and that one third of the directors commencing with the longest serving shall retire at each Annual General Meeting.

There are currently eleven directors on the Board, with a maximum of twelve allowed by the Rules.  Four directors are therefore required to retire this year and offer themselves for re-election if they so wish.

The directors retiring at this year’s AGM are:

  • Stephen Hartley – Chairman
  • Stephen Johnson – Treasurer
  • Tony Spencer – Administrative Director / Matchday Secretary
  • Councillor Joe Kitchen – Community Director

Messrs. Hartley, Johnson and Spencer have indicated their willingness to stand for re-election. Councillor Kitchen has indicated that he wishes to retire from the board permanently due to health issues.

With the exception of the roles of Chairman and Treasurer, which are elected by the Board of Directors following the AGM, the club’s policy is that directors should be elected to fulfil specific roles within the club. The roles currently to be filled are those held by the retiring directors and  Business Development Director, which is a vacant role.

Nominations have been received for Thomas Rothwell as Community Director, and Tom Armstrong as Business Development Director.

Thomas Rothwell is a lifelong supporter of the club, and has been instrumental in increasing attendances through his liaison with local schools.

Tom Armstrong is a director of the club’s stadium sponsors Project Solar, and has successful business experience and contacts to assist in the club’s development.

Should anyone else wish to stand for election as a director, your nomination, proposed and seconded by CBS members, should be forwarded to secretary@hydeunited.co.uk,  not later than 5.00 p.m. on 19th March 2024, and include the following:

  • The position you wish to stand for
  • Why you think you are best suited for the position
  • Any skills you have that would make you a good fit for the position

Successful appointees will be required to comply with the FA Fit and Proper Persons regulations

In the event that further nominations are received, a ballot will be required.

As Hyde United Community Association Football Club Limited (the CBS) holds 100% of the voting A shares in Hyde United Association Football Club Limited (the football club), directorships in the CBS will be mirrored in the football club.
